1. Agreement to these Terms

These Terms and Conditions ("Terms") govern your use of schoolsandhi.com and everything served from it (the "Service"). They form a binding contract between you and the operator of SchoolSandhi ("we", "us", "our").

These Terms incorporate our Privacy Policy by reference. Where the two documents deal with the same subject, the Privacy Policy governs on matters of personal data and these Terms govern on everything else.

This is an electronic record generated by a computer system and does not require a physical or digital signature. It is published in accordance with the Information Technology Act, 2000, the rules made under it, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

2. Who may use the Service

You may use the Service only if all of the following are true:

• You are at least 18 years old, or you are between 13 and 18 and are using the Service with the involvement and consent of a parent or lawful guardian who agrees to these Terms on your behalf.
• You have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872 or the law that applies to you.
• You are not barred from using the Service under any law applicable to you, and you are not on a sanctions list maintained by India, the United Nations, the United States, the United Kingdom or the European Union.
• Your use complies with the law of the country you are in. Some features may be unlawful in some jurisdictions; determining that is your responsibility, not ours.

We may refuse, suspend or terminate access to anyone, at any time, where we reasonably believe these conditions are not met.

3. The Service we provide

SchoolSandhi is a school management platform that brings student records, admissions, attendance, timetabling, examinations, fee collection, transport, library, staff and HR administration into one system.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose, subject to these Terms. That licence is all you get: it is not a sale, and no other rights are granted by implication or estoppel.

We may add, change, suspend or withdraw any part of the Service at any time. We may impose usage limits — file size, file count, rate or quota — and change them, to keep the Service available to everyone. We will try to give notice of a significant change but are not obliged to.

The Service is provided free of charge unless a paid feature is expressly identified as such. We do not guarantee that any free feature will remain free.

4. Your account

Some features require an account. You agree to give accurate registration information and to keep it current.

• You are responsible for everything done under your account, whether or not you authorised it.
• Keep your credentials confidential. Do not share an account, password or authentication token.
• Tell us immediately at support@schoolsandhi.com if you suspect unauthorised access.
• One person, one account, unless we agree otherwise in writing. Do not create an account for anyone else, or using a false identity.

We may suspend or close an account that is inactive for an extended period, that we reasonably believe is being used in breach of these Terms, or that we are required to close by law.

5. Acceptable use

You agree not to use the Service to do any of the following. This list reflects Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 as well as the specific risks of this Service.

Prohibited generally

• Anything unlawful, or that assists another person to do something unlawful.
• Infringing anyone's copyright, trade mark, patent, trade secret, design, personality, publicity or other proprietary right.
• Publishing or transmitting material that is obscene, pornographic, paedophilic, invasive of another's privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, or otherwise inconsistent with or contrary to the laws in force.
• Material that is harmful to a child, or that depicts a child in a sexually explicit manner.
• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
• Threatening the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causing incitement to the commission of any cognisable offence.
• Deliberate misinformation, or content that is patently false and intended to mislead or harass for financial gain.
• Introducing a virus, worm, malware or any code designed to interrupt, destroy or limit the functionality of any computer resource.
• Reverse engineering, decompiling or disassembling any part of the Service; probing or testing its vulnerability without our prior written consent; or defeating any access control, rate limit or security feature.
• Automated access — scraping, crawling, or bulk requests — except by a search engine crawler obeying our robots.txt.
• Reselling, sublicensing or commercially redistributing the Service or its output as a competing service.

Prohibited specifically on this Service

• access, attempt to access, download or export any student, parent or staff record you are not authorised by your institution to see
• share an account, password or authentication token, or allow another person to act under your credentials
• use any student, parent or staff personal data obtained through the platform for marketing, profiling, political communication, or any purpose other than the legitimate administration of the institution
• upload material that is obscene, that sexually exploits or endangers a child, or that is otherwise unlawful under the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, the Protection of Children from Sexual Offences Act, 2012, or the Juvenile Justice (Care and Protection of Children) Act, 2015
• attempt to re-identify any data we have aggregated or de-identified

6. Your content, and the rights you give us

"Your Content" means anything you submit to the Service — files, prompts, text, images, audio, video or records.

You keep ownership

Your Content remains yours. We claim no ownership of it.

The licence you give us

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, reproduce and modify Your Content solely to the extent necessary to operate the Service and to deliver the result back to you. This licence exists so that the software can lawfully read and process your file. It ends when the content is deleted.

What you promise us

• You own Your Content, or you have all rights, licences, consents and permissions needed to submit it and to have it processed as you intend.
• Your Content does not infringe any third party's rights and does not breach any law.
• Where Your Content contains the personal data or likeness of another person, you have the lawful basis or consent required to submit it.

Removal

We may remove or refuse to process any content that we reasonably believe breaches these Terms or the law, that we are required to remove by a court order or a lawful government direction, or that presents a security risk. Where practical and lawful, we will tell you why.

7. Our intellectual property

The Service itself — its software, models, interface design, layout, graphics, text, the SchoolSandhi name and logo, and its compilation — is owned by us or licensed to us, and is protected by the Copyright Act, 1957, the Trade Marks Act, 1999, and equivalent laws elsewhere.

Nothing in these Terms transfers any of it to you. You may not copy, adapt, frame, mirror or create derivative works from the Service, or use our name, logo or branding without our prior written permission — except that you may link to us and quote reasonable extracts of our published articles with attribution and a link back.

8. Advertising and third-party links

The Service contains advertising and links to sites we do not control.

Advertising

We display advertising and content recommendations supplied by third-party networks, including Taboola. We do not select, endorse or verify individual advertisements. An advertisement appearing on our pages is not a recommendation by us, and we are not responsible for the goods, services, claims or conduct of any advertiser. Any dealing you have with an advertiser is between you and them.

Third-party links

Links to third-party sites are provided for convenience. We do not control them, do not endorse them, and are not responsible for their content, accuracy, availability, security or privacy practices. Follow them at your own risk and read their terms.

9. Copyright complaints and content takedown

If you believe material on the Service infringes your copyright or other right, or is otherwise unlawful, write to legal@schoolsandhi.com with:

1. Your name, address, telephone number and email address.
2. Identification of the work or right you say has been infringed, with proof of your ownership or authority to act.
3. The exact URL of the material complained of, precise enough for us to locate it.
4. A statement that you believe in good faith that the use is not authorised by the rights owner, its agent or the law.
5. A statement that the information in your notice is accurate, and that you are the rights owner or authorised to act on their behalf.
6. Your physical or electronic signature.

We act on valid notices within 36 hours of receipt where the Intermediary Guidelines require it, and otherwise as promptly as we reasonably can. We may notify the person who submitted the material and give them an opportunity to respond. Knowingly making a material misrepresentation in a takedown notice may expose you to liability.

10. Disclaimers

In particular, and without limiting the above, we do not warrant that:

• the Service will be uninterrupted, timely, secure or error-free;
• any defect will be corrected, or that the Service is free of viruses or other harmful components;
• results obtained from the Service will be accurate, complete, current or fit for your purpose;
• the Service will meet your requirements or expectations.

Not professional advice

Articles, guides and other editorial content on the Service are published for general information only. They are not legal, financial, tax, medical, immigration or other professional advice, and must not be relied on as a substitute for advice from a qualified professional who knows your circumstances. We accept no liability for action taken or not taken on the basis of our editorial content.

11. Institutional subscriptions and School Data

Where an institution subscribes to the platform, these Terms are supplemented by the subscription agreement signed with that institution. If the two conflict, the subscription agreement prevails for that institution and its users.

• Records entered into the platform belong to the institution. We hold them as a processor on the institution's documented instructions.
• The institution is responsible for the lawfulness of what it collects, for obtaining any consent the law requires — including verifiable parental consent under section 9 of the Digital Personal Data Protection Act, 2023 — and for issuing and revoking user accounts.
• Individual users must use the platform only within the permissions their institution grants them.
• On termination the institution may export its data; we then delete it as set out in our Privacy Policy.

12. Limitation of liability

Subject to that, and to the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, goodwill, business opportunity, anticipated saving, data or content, however arising and whether or not we were advised of the possibility.
• We are not liable for any loss arising from your use of, or inability to use, the Service; from any result the Service produces; from unauthorised access to your transmissions or data; or from the conduct of any third party on or reached through the Service.
• Our total aggregate liability arising out of or in connection with the Service and these Terms, in contract, tort (including negligence), statute or otherwise, is limited to the greater of (a) the total amount you actually paid us in the twelve months before the event giving rise to the claim, or (b) INR 5,000.

You acknowledge that the Service is provided free of charge or at low cost, that this allocation of risk is a fundamental basis of the bargain between us, and that we would not provide the Service on these terms without it.

13. Indemnity

You agree to indemnify, defend and hold harmless us, our affiliates, and our respective directors, officers, employees, contractors and agents, from and against any claim, demand, proceeding, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or connected with:

• your use or misuse of the Service;
• your breach of these Terms or of any law;
• any content you submit, and any use you make of a result the Service produces;
• your infringement of any third party's intellectual property, privacy, personality or other right.

We will notify you of any such claim and may, at our option and your cost, assume its exclusive defence and control. You will not settle any claim in a way that imposes an obligation on us without our prior written consent.

14. Suspension and termination

You may stop using the Service at any time. If you have an account you may close it by writing to support@schoolsandhi.com.

We may suspend or terminate your access immediately, without notice and without liability, where we reasonably believe you have breached these Terms, where your use exposes us or another user to legal risk or harm, or where we are required to do so by law.

Provisions dealing with content already processed, intellectual property, disclaimers, limitation of liability, indemnity, governing law and general terms survive termination.

15. Governing law, jurisdiction and disputes

These Terms and any dispute arising out of or in connection with them or the Service — including any non-contractual dispute — are governed by the laws of India, without regard to conflict-of-law rules.

Subject to the paragraphs below, the courts of competent jurisdiction in India have exclusive jurisdiction, and you submit to that jurisdiction.

Raise it with us first

Before starting any formal proceeding, please raise the matter with our Grievance Officer. Most disputes are resolved that way, faster and at no cost.

Arbitration

If a dispute is not resolved within 60 days of being raised with the Grievance Officer, it shall be referred to and finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be in India and the language shall be English. The award shall be final and binding. Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court.

Consumers

If you are a consumer, nothing in this section deprives you of the protection of the mandatory law of the country in which you are habitually resident, including any right to bring proceedings in your local courts. Indian consumers retain their remedies under the Consumer Protection Act, 2019.

Changes to these Terms

We may amend these Terms. The "last updated" date shows the current version. Material changes will be notified prominently on the Service before taking effect. Continued use after that means you accept the amended Terms; if you do not accept them, stop using the Service.

Force majeure

We are not liable for any failure or delay caused by something beyond our reasonable control, including act of God, flood, fire, earthquake, epidemic, war, terrorism, civil unrest, government action, labour dispute, power failure, network or hosting outage, or failure of a third-party service or telecommunications provider.

Severability

If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The rest of these Terms continues in full force.

No waiver

Our failure to enforce any provision is not a waiver of it, and does not prevent us enforcing it later.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.

No agency

Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between us.

Entire agreement

These Terms together with the Privacy Policy are the entire agreement between you and us about the Service, and supersede any prior understanding on the subject.

Language

These Terms are drafted in English. Any translation is provided for convenience; in the event of conflict, the English version prevails.
